Colvin Matheson
Founder and Managing Director
Colvin Matheson is the founder and Managing Director of Matheson Financial Advisors, Inc., a boutique corporate financial advisory firm focused on the A/E/C and Environmental Consulting industry. Matheson Financial Advisors provides client firms with business valuations, fairness opinions, internal ownership transition consulting, ESOPs, equity incentive plans, and mergers and acquisitions assistance. With over 25 years of corporate finance and consulting experience, Colvin has performed hundreds of client engagements working along these lines to guide firms through stock transactions and M&A activities.
Colvin is also a co-founder and managing member of A|E Advisors, LLC, which is a network of A/E industry consultants covering a variety of management consulting practice areas that also hosts an annual CEO Forum for industry executives (www.ae-advisors.com).
Prior to reestablishing Matheson Financial Advisors in 2003, Colvin was the leader and principal-in-charge of ZweigWhite Consulting's Financial Advisory Services Group, which provided similar services to the design industry. Other previous experience includes eight years of corporate and international banking with expertise in corporate lending, cash management solutions, capital markets, trusts, and investment advisory services.
Colvin has developed and delivered seminars on the topics of business valuation, ownership transition, mergers and acquisitions, equity compensation, and firm financial management that have been presented to thousands industry executives at AIA, NSPE, ACEC, and ZweigWhite Hot Firms, Pathway to Principal, and other seminars. He has also been an instructor for ACEC's Business of Design Consulting leadership development program since 2004. He has appeared in trade publications such as Engineering Times, The Zweig Letter, and Engineering, Inc.
Colvin received an MBA in Finance and International Business from George Washington University, and a BA from Tulane University. He is a Chartered Financial Analyst (CFA) and is a member of The CFA Institute, the CFA Society of Washington, the American Society of Appraisers, the National Center for Employee Ownership, and Trout Unlimited's Cold Water Conservation Fund.
David Cohen
Managing Director
David brings over a decade of experience in consulting clients on ownership transition, business valuation, financial management, and mergers and acquisitions. Prior to becoming a principal at Matheson Financial Advisors, he was managing principal of Exit Strategy Management, a consulting firm he founded to provide financial advisory services to the design industry. David assumed the position of principal at Matheson Financial Advisors in 2006 when Exit Strategy Management and Matheson Financial Advisors merged.
David has completed appraisal assignments for purposes of mergers and acquisitions, internal ownership transition and succession planning, Employee Stock Ownership Plans (ESOPs), and various litigation support engagements. He has assisted clients with all facets of ownership transition planning including analyzing the financial makeup of the company, designing stock valuation formulae, testing the financial feasibility of various stock transition options, and making recommendations for the shareholder's agreement. He has also advised clients through the mergers and acquisitions process-helping them identify potential buyers or sellers, conducting due diligence, negotiating, structuring and closing the deal, and integrating the firms.
As an expert in financial advisory services, David conducts seminars on the topics of financial management, valuation, and ownership transition planning for the design industry, as well as leading in-house educational presentations for firms nationwide and speaking at ACEC and AIA National and State conferences and seminars. Prior to founding Exit Strategy Management, David was a shareholder with another industry consulting firm, where he headed up the ownership transition planning unit within the Financial Advisory Services group. He also holds a Law Degree and has practiced law in the areas of class action litigation, commercial proceedings, and civil actions.
David graduated from the University of Miami (FL) and earned a Bachelor of Business Administration degree with a major in Accounting. He also earned his Juris Doctorate from the University of Miami School of Law and is licensed to practice law in Florida and Massachusetts. In addition to being a member of the American Society of Appraisers, David received the coveted Accredited Senior Appraiser (ASA) designation with a specialization in business valuations.
Scott Cobb, CFA
Principal
Scott Cobb is Principal at Matheson Financial Advisors, Inc. where he provides client firms with business valuations, fairness opinions, internal ownership transition consulting, ESOPs, equity incentive plans, and mergers and acquisitions assistance. He has over a decade of valuation and mergers and acquisitions experience, during which he has completed more than 200 valuations and 25 transactions across a broad range of industries including healthcare, government and defense contracting, technology, engineering and construction, retailing, food distribution, publishing, and building products.
Prior to joining Matheson Financial Advisors, Scott was a Vice President in the Investment Banking arm of Taylor Companies, a boutique investment bank and consulting firm. In this capacity, Scott worked on all aspects of both buy-side and sell-side transactions with an emphasis on valuation issues. While at Taylor, he worked on transactions involving both privately held as well as publicly traded companies including ABB's $4.2 billion acquisition of Baldor Electric.
Scott has also worked as a Senior Manager at Willamette Management Associates where he performed valuations of privately held companies, intangible asset and intellectual property valuations, purchase price allocations as well as providing other financial advisory services. Scott's other past positions include Senior Manager, Business Valuation, Forensic, and Litigation Services with Ellin & Tucker, Chartered and Senior Manager with Haverford Capital Advisors.
Scott received an MBA from the Yale School of Management and a BS in Finance from Drexel University. He also studied economics and finance at City University in London. He is a Chartered Financial Analyst (CFA) and holds NASD Series 7 and Series 79 licenses. Scott is a member of the CFA Institute, the CFA Society of Washington, and the American Society of Appraisers (ASA). He is currently Vice President of the Washington, DC Metro Area Chapter of the ASA.

Matthew K. "Matt" Fultz
Associate
Having joined Matheson Financial Advisors in early 2009, Matt Fultz is an Associate with Matheson Financial Advisors where he is responsible for project engagement and client management as well as financial and valuation modeling and analysis of client firms. He also provides market research and other management responsibilities related to the firm's business valuations, stock plans, strategic capitalization analyses, and merger and acquisition (M&A) engagements. Prior to joining the firm, he was an Associate with the Venture Finance team at ORIX USA, a mid-market provider of debt and equity finance, located in McLean, Virginia. While at ORIX he was responsible for evaluating prospective investment opportunities, due diligence, industry research, financial modeling and analysis, and creating investment memorandums.
Before joining ORIX, he was a Senior Financial Analyst with The Bear Companies, an Arlington, Virginia based investment and merchant banking firm focused on the financial services and real estate industries. Prior to The Bear Companies, he was a Financial Analyst in the Financial Institutions Group at Friedman Billings Ramsey, a middle market investment bank headquartered in Arlington, VA.
Matt has substantially completed the rigorous business valuation/appraisal program with the American Society of Appraisers (ASA) and is pursuing that professional designation. Matt graduated from Virginia Tech in 2005 and earned a Bachelor of Science degree with a major in Finance.
