Private 110-person Southeast Architecture Firm
November 2022 – MFA served as independent financial and valuation advisor to the Trustee for a transaction in which the ESOP purchased approximately 37% of the Company’s common stock in a leveraged transaction as part of buying out two shareholders, including the founder.

Private 80-person Nevada Civil Engineering Firm ESOP*
September 2018 – Matheson Advisors served as financial advisor to the majority shareholder in the sale of a 51% ownership block to the company’s newly established ESOP

Private 140-person architecture firm
January 2018 – MFA served as independent financial and valuation advisor to the Trustee for a transaction in which the ESOP purchased approximately 33% of the Company’s common stock in a partially leveraged transaction, as part of a founder buy-out.

August 2017 – MFA served as financial and valuation advisor to the Company for a transaction in which a newly created ESOP purchased 30% of the Company’s common stock with cash.

Private 500-person CA Architecture Firm
December 2016 – MFA served as financial and valuation advisor to independent institutional trustee for a 18.5% common stock purchase by the ESOP in follow-on transaction to transition founder’s remaining interest. The ESOP now holds 73% of the equity of this 500+ person design firm.

Private 270-person East Coast Transportation Firm
November 2016 – January 2012 – Financial and Valuation Advisor for Stock purchase by Employee Stock Ownership Plan.

Private 20 Person Engineering Firm (North Carolina)
November 2016 – February 2008 – Served as Financial Advisor to the Independent Trustees for the implementation of a 100% ESOP and S-corp Conversion of a 20+ person engineering firm based in Raleigh, North Carolina.

October 2016 – MFA served as financial and valuation advisor to the independent trustee for a transaction that resulted in the ESOP increasing its ownership to 100% and the firm making an S-corporation election.

Private 325-person Pennsylvania Engineering Firm
July 2015 – MFA served as financial and valuation advisor to the independent trustee for a transaction in which the ESOP purchased 9% of the Company’s common stock with cash and an ESOP note.

January 2015 – MFA served as financial and valuation advisor for an internal transaction in which the ESOP purchased 55% of the Company’s voting common stock in a leveraged transaction.

Private 385-person CA Architecture Firm
December 2014 – MFA served as financial and valuation advisor to independent institutional trustee for a 12% common stock purchase by ESOP in follow-on transaction to reduce founder’s interest. The ESOP now holds 42% of the equity of this 385+ person design firm.

Private 130-person Midwest Engineering and Construction Management Firm
December 2014 – MFA acted as financial advisor for multi-entity consolidation and restructuring under a newly established holding company acting through the company ESOP trustees. The transactions resulted in a stronger, better capitalized firm to support future growth.

Private 170+ person CA Civil Engineering Firm
October 2014 – MFA acted as financial and valuation advisor to ESOP trustees in a 10% transaction that resulted in the ESOP trust ownership increasing to 62%.

Private 115-person Southeast Engineering Firm
March 2014 – MFA served as financial and valuation advisor for an internal transaction in which the ESOP purchased 79% of the Company’s voting common stock in a leveraged transaction.

Private 275-person West Coast Architecture Firm
December 2013 – and December 2012 – MFA served as Financial and Valuation Advisor to Independent Trustee for both first and second stage ESOP section 1042 transaction. Developed program for stock ownership expansion and management buyout part of overall transaction, successfully transferring over 42% of equity from founder.

November 2013 – MFA initiated ESOP program and served as Financial and Valuation Advisor to Independent Trustee for new 37% ESOP to restructure firm ownership and provide liquidity to certain owners.

December 2012 – MFA served as Financial and Valuation Advisor to Independent Trustee for 100% ESOP leveraged buyout.

December 2012 – MFA served as Financial and Valuation Advisor to Independent Trustee for minority ESOP purchase of 13% of the company’s capital stock. Also programmed and consulted on simultaneous management buyout of additional 25% of direct shares for ownership expansion to key leaders.
